Experience

  • Advised one of Kenya’s largest public universities in a major real estate project. Part of our tasks in the assignment, included: conducting a detailed due diligence on the land to be purchased (approximately 1000 acres); overseeing the purchase of the land, negotiations with several professionals and the project’s technical team (architects, engineers, project managers and selling agents) involved in the development of a commercial building; drafted contracts for the above-mentioned professionals; providing general legal advice on the development; reviewed and amended related standard construction contacts and stamped various contracts for professionals
  • Advising a client developing a private city in the Nairobi metropolis on 1000 acres of land
  • Advised a private limited liability company engaged in the business of advanced medical care that was undertaking the construction of a hospital on land in Kiambu. For the purposes of financing the aforementioned construction project, the company entered into an arrangement with a development bank to grant it facilities amounting to USD 30.5 million. The transaction involved conducting extensive legal due diligence on the company and the individual project transactional documents, the drafting and review of the following security documentation: the Facility Agreement, the Sponsor Support Agreement, the Recourse Agreement, the Memorandum of Deposit of Shares, the Irrevocable Stand by Letter of Credit, the Consent letter, the Charge, the Project Documents and Assignment Agreement
  • Currently acting for a leading Turkish construction company in partnership with a German investment firm in a joint venture project with landowners for the development of a multi million dollar mixed use project on Ngong Road, Nairobi
  • Currently acting for a leading Chinese property development company in a partnership project with landowners for the development of a block of residential apartments comprising of over three hundred (300) units around the Junction area in Nairobi
  • Acting for Cytonn Investments in the acquisition of a property worth KES 1.3 billion (we also advised them on the financing aspects of the transaction by a Finnish investment firm
  • Advising two real estate developers in a joint housing development project within Nairobi, worth KES 600 million
  • Advising a real estate firm in a joint venture transaction with land owners, in regard to a 1000 acres mixed use development
  • Advising a property developer in a joint venture with a landowner in regard to a high end residential project in Thika
  • Currently acting for a leading Kenyan investment firm dealing in Real Estate, specifically in the sale of high-end residential houses in Karen and Ruaka
  • Currently acting for Cytonn Investments Management Limited in the sale of high-end residential houses in Karen
  • Currently advising the Deposit Protection Fund (now known as the Kenya Deposit Insurance Corporation), in relation to recovery of debts owed to several collapsed financial institutions through liquidation of a prime property valued at USD 9.5 million
  • Acted for KCB Pension Fund in respect to the development of a residential estate
  • Advising on a property development consisting of a block of 20 houses in Adams Arcade
  • Advised a developer in developing and selling 150 apartments
  • Advised a client engaged in a real estate project (size: 7 acres) in Lavington
  • Assisted in providing legal advice to a large international construction company on construction law and employment law in Kenya in respect of an upcoming project being undertaken by the said company
  • Acted for a leading investments and real estate company in the acquisition of a 10 acre piece of land in Ridgeways, Kiambu and preparation of sale agreements for the same
  • Currently assisting in the acquisition of a 6 acres piece of land which is being hived from a 50 acre piece of land in Embakasi, located east of Nairobi’s central business district
  • Currently acting for a leading Kenyan investment firm dealing with Real Estate, specifically in the sale of high-end units

Securities

  • Prepared financing and security documents in respect of East African Development Bank’s financing of the construction and finishing of a 10-storey, 3-tower office complex in Westlands, Nairobi
  • Preparation and perfection of security documentation(debenture, charges and corporate) for a leading Kenyan bank with multinational coverage(the estimated matter value is USD 5.23 million)
  • Preparation and perfection of security documentation (debenture, charges and corporate guarantees and the relevant board resolutions) for a leading Kenyan bank in respect to their lending of USD 4 million)
  • Acted on behalf of a SACCO in the preparation of financing arrangements between the SACCO and its members. Our tasks included preparation of relevant security documents
