Oraro & Company Advocates Shines Again in the 2020 IFLR 1000 Rankings

Oraro & Company Advocates has, once again, been recognised among the regional leading law firms in the Financial and Corporate Transactional Practice in the 2020 IFLR 1000 rankings. The research was conducted by IFLR 1000, a leading legal directory that is fully dedicated to ranking law firms and lawyers based on Financial & Corporate transactional work.

IFLR 1000 ranked the firm Tier 2 in Project Development: Infrastructure and Project Development: Mining practice area. Oraro & Company Advocates further received a Tier 3 rating in Project Development: Power and a Tier 4 ranking in Financial and Corporate. The firm’s annual CSR event “leave your mark, do something for someone campaign” took the Oraro & Company Advocates family to the Bishop Luigi Locati Children’s home in Zimmerman.

The children’s home caters for orphaned and abandoned children from the streets and police cells/stations.

The OCO family was delighted to have provided a 10,000 litre tank, custom made double decker beds, beddings and food supplies.

The firm continues to go beyond the courtroom to inspire the next generation of future lawyers to become.

Milly is a Senior Associate in the Corporate and Commercial practice group and specialises in corporate & commercial law, competition law, employment & labour law and intellectual property law. Milly has advised local and international clients on corporate restructurings, mergers & acquisitions, commercial contracts, drafting employment contracts, reviewing of employment policies & procedures, trademarks and copyrights.

Milly was part of a team that advised Equity Group Holdings Limited (formerly Equity Bank Limited) on a 79% stake of the of ProCredit Bank, a financial institution in the Democratic Republic of Congo, from Belgische Investeringsmaatschappij voor Ontwikkelingslanden, Stichting DOEN and ProCredit Holding AG. The acquisition required undertaking a comprehensive due diligence, drafting and reviewing of the share purchase agreement and undertaking the competition filings at the Competition Authority of Kenya.

Milly has a Bachelor of Laws (LLB) from Moi University and a post-graduate diploma in Law from Kenya School of Law.

  • Part of a team that advised Equity Group Holdings Limited (EGHL) (formerly Equity Bank Limited) on its acquisition of 79% of the share capital of ProCredit Bank, a financial institution in the Democratic Republic of Congo, from Belgische Investeringsmaatschappij voor Ontwikkelingslanden, Stichting DOEN and ProCredit Holding AG, including structuring the all stock consideration for the sale through issue and allotment of EGHL’s shares to each of the three sellers, undertaking due diligence on ProCredit Bank and addressing the multiple financial and competition regulatory challenges to the transaction.
  • Part of a team that assisted in undertaking due diligence and thus advising Godrej Consumer Products Limited on its proposed acquisition of a major stake in Canon Chemicals Limited.
  • Part of a team that assisted in advising Atlas Development and Support Services Limited (formally Africa Oilfield Logistics Limited), a company incorporated in the Island of Guernsey, Channel Islands and listed on the London Stock Exchange, on its cross-listing onto the Growth Enterprise Market Segment (GEMS) of the Nairobi Securities Exchange – the first ever successful cross-listing onto GEMS.
  • Assisted in advising clients in a variety of sectors on employment and labour related issues. The scope of work included drafting and developing a standard template for expatriates, senior local employees and junior local employees, drafting separation/settlement agreements and advising on dismissals and redundancies.

Sandra is a Senior Associate in the dispute resolution practice group and specialises in employment & labour law. With over 7 years’ experience, she has advised clients in education, financial services, and public sector. Sandra advises local and international clients in banking and commercial litigation, constitutional law, environmental law, employment, and labour law, election petitions, fraud and land disputes. 

Sandra has advised an academic institution in formulating Collective Bargaining Agreements. She also successfully defended a company in an employment claim filed by casuals who wanted to be accorded similar employment terms as permanent staff.

Our Corporate & Commercial practice provides comprehensive legal advice by combining competition law, employment, financial, regulatory and taxation expertise. Our recent significant involvement includes advising complex mergers, acquisitions, joint ventures and commercial contracts for which we are well regarded.


We regularly advise on IPOs, rights issues, medium-term notes, private placement bonds and the set up of new products in the NSE and the Capital Markets. In particular, we have advised:

  • Advising the largest sugar miller in Kenya in the restructuring of its debt, owing from local and international lenders. Our role involved reviewing the contractual documentation, restructuring facilities documents and other security agreements and providing a legal opinion on the debt restructuring.
  • Advising a Dutch firm involved in the water sector and a Dutch financial risk management firm on the establishment of a capital market structured water pool facility, to finance water infrastructure projects in Kenya.
  • Advising a leading commercial bank on its proposed restructuring. Our role includes advising on the powers under the Kenya Deposit Insurance Act, 2012 to undertake the restructuring, the legal aspects of the restructuring, and advising on alternative restructuring options.
  • Advising the Attorney General of Kenya in the largest and most complex debt and equity restructuring which involved reviewing the restructuring documentation, converting Government loans into equity and securing Government sovereign guarantees for key lenders and issuing new shares to investors in consideration of in-kind capital contributions of non-cash assets to the company.
  • Acting a legal counsel in relation to the sale of shares to a Kenyan cement manufacturer hold shares in a Mauritius based company that holds shares in another company that owns and operates the cement factory.
  • Advised the NSE and the Capital Markets Authority (CMA) on the demutualisation of the NSE, as well as compliance with various statutory regimes governing their respective operations.
  • Advised on three successful and heavily subscribed rights issues for a leading commercial bank in Kenya.
  • Advised the Government of Kenya and KenGen during its offer and sales of 6.5 million ordinary shares at the Nairobi Securities Exchange (NSE).
