BACKGROUND
Nyabundi is an Associate in the Corporate & Commercial Department and specialises in corporate law, mergers and acquisitions, legal due diligence, intellectual property law, employment advisory, energy and carbon credits, and general commercial transactions.
Nyabundi holds a Bachelor of Laws (LLB) from Jomo Kenyatta University of Agriculture and Technology and a post-graduate diploma in Law from the Kenya School of Law. He is also a Certified Professional Mediator.
EXPERIENCE
- Advised and conducted a legal due diligence on behalf of County Pension Fund through CPF Financial Services on Linzi FinCo Trust, the issuer of the Linzi Sukuk as well as the issue of the Linzi Sukuk for the proposed financing, design, construction and commissioning of affordable institutional housing.
- Advised and conducted a legal due diligence on behalf of Truvalu Enterprises 1 B.V. (“Truvalu”) on Farmworks Agriculture (“Farmworks”), with respect to a proposed debt investment by Truvalu to Farmworks and preparing the relevant transaction documents.
- Reviewed and advised a client in a complex dispute involving a leading energy company and a technology service provider. The engagement required navigating multiple areas of law, including emerging fields such as carbon credits, across various jurisdictional perspectives. This demanded in-depth legal research and critical analysis to provide comprehensive advice and safeguard the clients’ interests.
- Advised and conducted a legal due diligence on behalf of a client, which sought funding for a proposed construction of a cancer hospital focused on early detection, accurate diagnosis, and comprehensive cancer treatment.
- Advised one of Kenya’s leading oil distribution companies on the implications of Kenyan employment laws in the event of local hiring. The advisory covered compliance with the Employment Act (Chapter 226, Laws of Kenya), including recommendations on the appropriate structure and content of employment contracts to ensure legal conformity.
- Advised one of the leading international schools in Kenya on the proper legal procedures for declaring redundancy, as well as the statutory requirements for reassigning an employee to a new role under the Employment Act (Chapter 226, Laws of Kenya), which ensures the school avoids legal claims.
- Advised one of the leading manufacturers of PVC plastic pipes and fittings on the legal and commercial considerations of installing a captive power plant at its premises. Additionally, reviewed and negotiated the Power Purchase Agreement on behalf of the client.
